Harsh Realities of Ukrainian Entrepreneurs

Security risks have transformed regional labor markets in Ukraine. More and more companies and sole proprietors relocate to safer places and even abroad. However, the consumer often remains the same Ukrainian user or business. So the question arises – how to ensure clear working conditions and the responsibility of each party to the service agreement.

 

This is actually a common profile, which we use today to introduce our client. A kind of digital entrepreneur who wants not only to provide services but also to guarantee that they will be paid timely and properly.



The task is clear, the scale of work is understood, so it’s time to prepare for its execution.

 

When There Is Demand, But Clear Regulation Is Still Beyond the Horizon

We understood the client’s need from the first minutes of communication, but fulfilling it required somewhat unconventional approaches. Why? Because of the business specifics, where there is a component of payments for services in cryptocurrency. So, after familiarizing ourselves with the needs, we focused on the following:

 

  • Analyzing current and potential national legislation to develop a clear framework and template of the legal contract.
  • Studying the characteristics of the blockchains the client works with and researching their regulation by current norms.
  • Reviewing options for registering a company abroad, in one of the jurisdictions where crypto payments are regulated.
  • Working out the text and key terms of the cooperation agreement, focusing on the client’s activity specifics.
  • Re-discussing the project with the client and moving on to its final implementation – that is, to the development of legal documents.

 

It seems not complicated, but a question mark remained regarding taxation of activity in the sole proprietor format (specifically in the context of accounting and taxing crypto assets and income in this currency). However, all nuances can be resolved with effort – which is what we did.

 

Compliance with Legislation and Focus on Innovation: When the Work Process Is Complicated by the Regulatory Landscape

Since the project turned out to be not quite trivial, we used a non-standard approach. The work algorithm was as follows:

 

  • Taking into account the specifics of the client’s activity, such as interacting with customers via email and messengers (Telegram, Discord).
  • Defining and implementing payment terms (stablecoins and tokens such as UNDX, TLA, AVAIL, DYM, LAVA), as well as the calculation algorithm for services rendered.
  • Elaborating confidentiality requirements, in particular – protection of information about investment schemes, wallet addresses and private keys, as well as other data provided by the client.
  • Adapting the text of agreements to Ukrainian legal norms concerning cryptocurrencies, the order of providing and accepting services, confidentiality, etc.
  • Developing algorithms regarding force majeure circumstances, their impact on the ability to provide services, liability in case of such situations.

 

Thus, we managed to avoid all potential collisions and prepared the body of the contract-offer for the client. Literally, after a few iterations, we reached the final version approved by the client.

 

A Legal Agreement That Clearly Defines the Responsibilities of the Parties to the Cooperation

As a result, the client was satisfied with the cooperation with AA Lawrange. Why? We quickly analyzed their needs, the applicable legislation, and developed a contract-offer. This agreement takes into account all typical situations and potential force majeure events, which now occur quite frequently.

 

Thus, the client received a document that protects their funds and reputation and clearly outlines the procedures for remote cooperation with customers, partners, and contractors.
